Constitution The National Association of IRB Managers (NAIM) Post Office Box 640006 Atlanta, Georgia 30364-0006 (404) 766-9890 Preamble We declare and establish this constitution for the preservation and security of our association that this body may be governed in an orderly manner. This constitution is designed to encourage full participation of each member of the association. Approved, May 16, 1996 Final Corrections, April 11, 1997 ARTICLE I NAME The name shall be the National Association of Institutional Review Board (IRB) Managers, (NAIM). ARTICLE II LOCATION The Association's Headquarters shall be located in Atlanta, Georgia. ARTICLE III MISSION The mission is to provide management, consultant, and educational services in the area of human research management. ARTICLE I IV MEMBERSHIP 1. There shall be an annual membership fee inclusive of the convention's registration fee. 2. The annual membership fee is $75.00 which includes the newsletter and training material. ARTICLE V MANAGEMENT 1. The association shall adopt an agency form of operation with committees and committee chairpersons. 2. The standing committees shall be: (a) Academic (b) Board of Advisors (c) Business (d) Certification (e) Corporate Officers (f) Fundraising (g) Human Research Management Week (h) Mock Board (i) News Letter (j) Recruiting 3. The chairperson of a standing committee may serve in that capacity for no more than three consecutive years. 4. After three consecutive years, the chairperson of a standing committee may be eligible to chair a different committee, but not the same committee. 5. Unless this constitution is amended, there shall not be a time limit on committee membership. ARTICLE VI MISSION STATEMENT The preamble shall be approved as written. ARTICLE VII EDUCATION COMMITTEE 1. The Certification Committee shall design, modify, up date, the examination tool and assure certification for IRB Managers. The committee shall recommend a testing tool to the national office covering at least five areas of IRB management. 2. The Certification Committee shall determine methods of administering test, to include proctors, and scoring. ARTICLE VIII MEMBERSHIP COMMITTEE This committee will engage in activities that will encourage membership in the organization. ARTICLE IX BUDGET AND FINANCE Other than postage, there shall be no funds, budget, finance, nor paid personnel under this constitution and bylaws. In the past, the association has not raised funds. the committees have produced the work. ARTICLE X NATIONAL OFFICERS The chief executive officer shall preside at national meetings or appoint one to preside in his absence. ARTICLE XI METHOD OF VOTING Robert Rules of Order will be used for the business session. ARTICLE XII ELECTION OF COMMITTEE CHAIRPERSONS After the first term of officers, the committee chairperson shall be nominated in his or her committee and elected in the general business session.
